END USER LICENSE AGREEMENT (EULA)

PLEASE READ THIS END USER LICENSE AGREEMENT (“EULA”) CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THE EYEQ MOBILE APPLICATION (“APP”). BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT DOWNLOAD, INSTALL, OR USE THE APP.

1. Grant of License

Subject to your compliance with this EULA, EyeQ (“we,” “us,” or “our”) grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the EyeQ mobile application on a device that you own or control, solely for your personal, non-commercial use.

2. Medical Disclaimer and Intended Use

IMPORTANT MEDICAL DISCLAIMER:EyeQ is designed to provide health insights and information based on AI-powered eye analysis. The App is NOT intended to diagnose, treat, cure, or prevent any disease or medical condition. The information provided by EyeQ is for informational and educational purposes only and should not be considered medical advice.

You acknowledge and agree that:

  • EyeQ is not a substitute for professional medical advice, diagnosis, or treatment;
  • Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition;
  • Never disregard professional medical advice or delay in seeking it because of information provided by EyeQ;
  • If you think you may have a medical emergency, call your doctor or emergency services immediately;
  • EyeQ’s AI analysis may not be 100% accurate and should be verified by qualified healthcare professionals;
  • Results from EyeQ should be discussed with your healthcare provider before taking any action based on them.

3. License Restrictions

You agree NOT to:

  • Copy, modify, adapt, translate, or create derivative works based on the App;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App or its AI algorithms;
  • Distribute, sublicense, lease, rent, loan, or otherwise transfer the App to any third party;
  • Use the App for any unlawful purpose or in violation of any applicable laws or regulations, including HIPAA if applicable;
  • Use the App to provide medical services to third parties or for commercial medical screening purposes;
  • Scan eyes of minors without proper parental or guardian consent;
  • Attempt to circumvent any security features or usage limitations of the App.

4. Health Data and Privacy

Your health information is extremely sensitive. By using EyeQ, you acknowledge that:

  • The App collects, stores, and processes eye scan images and related health data;
  • All health data is encrypted and stored in compliance with applicable data protection laws;
  • You retain ownership of your health data, and you grant us a limited license to process it solely to provide the App’s services;
  • We may use anonymized, aggregated data to improve our AI models and services;
  • You can request deletion of your health data at any time through the App settings or by contacting us;
  • Our full data practices are detailed in our Privacy Policy, which is incorporated into this EULA by reference.

5. AI Technology and Accuracy

You understand and acknowledge that:

  • EyeQ uses artificial intelligence and machine learning algorithms that continuously evolve and improve;
  • AI analysis may produce varying results and is not guaranteed to be 100% accurate;
  • Results are based on patterns and correlations identified by our AI models and should be validated by medical professionals;
  • Scan quality, lighting conditions, and camera quality may affect results;
  • EyeQ makes no guarantees about the accuracy, completeness, or reliability of health insights provided.

6. User Responsibilities

As a user of EyeQ, you are responsible for:

  • Providing accurate information and following scan instructions properly;
  • Maintaining the confidentiality of your account credentials;
  • Understanding that EyeQ is a wellness and informational tool, not a medical diagnostic device;
  • Consulting with healthcare professionals before making any health-related decisions based on App results;
  • Not relying solely on EyeQ for medical diagnosis or treatment decisions.

7. Intellectual Property Rights

The App, including all AI algorithms, machine learning models, software, content, features, and functionality, are owned by EyeQ and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. This EULA grants you no rights to our intellectual property except the limited license to use the App as described herein.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE APP WILL MEET YOUR REQUIREMENTS OR PROVIDE ACCURATE HEALTH INFORMATION;
  • THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • THE RESULTS OBTAINED FROM THE APP WILL BE ACCURATE OR RELIABLE;
  • ANY HEALTH INSIGHTS OR PREDICTIONS MADE BY THE APP WILL BE CORRECT OR COMPLETE.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EYEQ, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • PERSONAL INJURY OR PROPERTY DAMAGE;
  • LOSS OF HEALTH, MEDICAL COMPLICATIONS, OR DELAYED MEDICAL TREATMENT;
  • LOSS OF DATA, PROFITS, OR REVENUE;
  • BUSINESS INTERRUPTION OR LOSS OF GOODWILL;
  • INACCURATE HEALTH INFORMATION OR MISDIAGNOSIS BASED ON APP RESULTS.

IN NO EVENT SHALL EYEQ’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE LAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless EyeQ from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use or misuse of the App;
  • Your reliance on App results without consulting medical professionals;
  • Your violation of this EULA or applicable laws;
  • Any health decisions you make based on information provided by the App.

10. Apple App Store Terms

If you download EyeQ from the Apple App Store, you acknowledge that:

  • This EULA is between you and EyeQ only, not with Apple;
  • Apple has no obligation to provide maintenance or support for the App;
  • Apple is not responsible for any health claims or product liability;
  • Apple and its subsidiaries are third-party beneficiaries of this EULA.

11. Governing Law

This EULA shall be governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in California.
