PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY BEFORE USING THE EYEQ MOBILE APPLICATION (“APP”). BY ACCESSING OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and EyeQ (“we,” “us,” or “our”) regarding your use of the EyeQ mobile application and all related services. By creating an account, downloading, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and End User License Agreement (EULA).

2. Eligibility

To use EyeQ, you must:

  • Be at least 13 years of age (users aged 13-17 require verifiable parental consent);
  • Have the legal capacity to enter into a binding agreement;
  • Provide accurate, current, and complete information during registration;
  • Not be prohibited from using the App under applicable laws.

3. Medical Disclaimer

CRITICAL HEALTH DISCLAIMER:

EyeQ is a wellness and informational tool that uses artificial intelligence to provide health insights based on eye analysis. THE APP IS NOT A MEDICAL DEVICE AND IS NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY DISEASE OR MEDICAL CONDITION.

You expressly acknowledge and agree that:

  • EyeQ does not replace professional medical advice, diagnosis, or treatment;
  • All health insights provided are for informational purposes only;
  • You must consult with qualified healthcare professionals before making any health-related decisions;
  • AI analysis may produce inaccurate or incomplete results;
  • You assume all risks associated with using the App and relying on its results;
  • If you experience a medical emergency, contact emergency services immediately—do not rely on the App.

4. Account Registration and Security

To access certain features of EyeQ, you must create an account. You agree to:

  • Provide accurate and complete registration information;
  • Maintain and update your information to keep it accurate and current;
  • Keep your account credentials confidential and secure;
  • Notify us immediately of any unauthorized access or security breach;
  •  Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive behavior.

5. Permitted Use

You may use EyeQ solely for:

  • Personal, non-commercial wellness and health information purposes;
  • Tracking your own health insights over time;
  • Generating reports to share with your healthcare providers (at your discretion).

6. Prohibited Activities

You agree NOT to:

  • Use the App for commercial medical screening or diagnostic services;
  • Reverse engineer, decompile, or attempt to extract the App’s AI algorithms or source code;
  • Upload false, misleading, or fraudulent information;
  • Scan eyes of other individuals without their explicit consent;
  • Interfere with or disrupt the App’s operation or servers;
  • Use automated tools (bots, scrapers, etc.) to access the App;
  • Violate any applicable laws, regulations, or third-party rights;
  • Circumvent security features or usage restrictions;
  • Share, sell, or distribute your account access to others.

7. Subscription and Payments

EyeQ may offer free and paid subscription plans. If you subscribe to a paid plan:

  • You authorize us to charge your payment method for the subscription fees;
  • Subscriptions automatically renew unless canceled before the renewal date;
  • All fees are non-refundable except as required by law or stated in our refund policy;
  • We may change subscription prices with 30 days’ advance notice;
  • You can cancel your subscription at any time through your account settings.

8. Intellectual Property

All content, features, and functionality of EyeQ, including but not limited to:

  • AI algorithms and machine learning models
  • Software code, design, and architecture
  • Text, graphics, logos, and images
  • Trademarks, service marks, and trade names

are owned by EyeQ and protected by U.S. and international intellectual property laws. You are granted a limited license to use the App as outlined in our EULA. No other rights are granted.

9. User Data and Privacy

You retain ownership of your health data and eye scan images. By using EyeQ, you grant us a limited license to:

  • Store, process, and analyze your data to provide App services;
  • Use anonymized, aggregated data to improve our AI models;
  • Share data as outlined in our Privacy Policy.

Our data practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers and Limitation of Liability

10.1 No Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF HEALTH INSIGHTS
  • UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION
  • FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EYEQ SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • PERSONAL INJURY, HEALTH COMPLICATIONS, OR MEDICAL ISSUES
  • LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES
  • RELIANCE ON INACCURATE HEALTH INFORMATION
  • DELAYED MEDICAL TREATMENT OR MISDIAGNOSIS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless EyeQ from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use or misuse of the App;
  • Your violation of these Terms;
  • Your violation of any third-party rights;
  • Health decisions you make based on App results.

12. Termination

We may suspend or terminate your access to EyeQ at any time, with or without cause or notice, if you:

  • Engage in fraudulent or abusive behavior;
  • Violate applicable laws or third-party rights.

Upon termination, you must cease all use of the App and delete it from your devices. Sections 3, 8, 9, 10, 11, 13, and 14 survive termination.

13. Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except you may bring claims in small claims court if they qualify.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms in the App and updating the “Last Updated” date. Your continued use after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
